Joseph I. Rosenbaum
Founder & President
Joseph Rosenbaum is the founder and President of Madison Title Agency, LLC and President of the affiliated companies of MCRES. Based in
New Jersey, Madison Title Agency and its affiliates provide a full range of commercial and residential real estate services in
New York, New Jersey, Connecticut, Massachusetts, Pennsylvania, Florida, Michigan, Texas and Washington, DC. In addition the
company has a network of support facilities both nationwide and abroad.
When Mr. Rosenbaum founded Madison Title Agency in June of 1998, the company offered only title insurance and title-related
services. In its first year, the company completed 2,500 transactions and insured more than $1billion of liability. Since then,
Mr. Rosenbaum has expanded the scope of operations through subsidiaries, affiliates and joint ventures, of which LeaseProbe and
Madison Exchange are best-known.
Mr. Rosenbaum is also the president of Diversified Capital, Inc., a real estate holding company he founded in 1995. Diversified
Capital owns and manages numerous commercial and residential properties in New Jersey, Pennsylvania, Virginia, Connecticut and Texas.
A resident of Lakewood, NJ, Mr. Rosenbaum holds a Bachelor's degree and a Master's degree from the BMG Rabbinical College.

Elliot S. Zaks
Co-founder & Director of Operations
Mr. Zaks, along with Mr. Joseph I. Rosenbaum, was one of the founders of Madison Title Agency, LLC and currently serves as the
Director of Operations for the company, its affiliates and other Madison Commercial Real Estate Services enterprises. Before his
association with Madison, Mr. Zaks was an independent real estate investor of note in the tri-state area.
Mr. Zaks is also Director of The Title Training Institute located in Lakewood, New Jersey. The Institute offers
both pre-licensing and continued education courses within the title field.
A resident of Lakewood, Mr. Zaks is an active member of the Lakewood, NJ community, serving as commissioner
and formerly vice-chair for the Lakewood Housing Authority and is a member of the Lakewood Township Zoning Board
of Adjustment. Mr. Zaks is also a board member of Yeshivas Orchos Chaim, a local elementary school.
Mr. Zaks holds a Bachelor's degree and a Master's degree from the BMG Rabbinical College, a NJ Real Estate Sales license, a NJ Title
Insurance Instructor license as well as Title Producers licenses in 28 states. Most recently, Mr. Zaks was selected as an
"Industry Leader" in 2010 by Real Estate Weekly, a publication serving the real estate industry.

Abish Brodt
Executive Director
Although his primary focus is the New York region, Mr. Brodt is responsible for new business development company-wide. Mr. Brodt
has extensive management experience and a strong a record of success. He is well-known in the business community in the New York metropolitan
area for his ability to bring people together and forge professional relationships.
Before joining Madison, Mr. Brodt held leadership positions in two other business enterprises—one in health/beauty aids and the other
in commodity metals. Under his guidance each of these companies grew from a start-up to a multi-million dollar operation within a few years.
Earlier in his career Mr. Brodt worked in the health services arena, serving in various management functions, including controller and
administrator of a skilled nursing facility.

Daniel Kasten
Chief Financial Officer
Mr. Kasten is Chief Financial Officer of Madison Title Agency and all the Madison Commercial Real Estate Services companies.
Mr. Kasten received a Bachelor's degree from BMG Rabbinical College and a MBA from Rutgers Graduate School of Management where he concentrated on Finance and Accounting.
Currently, Mr. Kasten is licensed as a CPA in the state of New York.
Mr. Kasten worked for Deloitte & Touche, LLP for three years as a senior tax consultant, focusing on the banking and securities industries.
Mr. Kasten then served as a senior tax advisor at Ernst & Young, LLP for three years. There, his primary task was to work on midsize and Fortune
500 companies.

Charles Celnik
Controller
Mr. Celnik is Controller for Madison Title Agency, LLC and all its affiliates. In this role, he oversees all accounting
functions and prepares financial statements for all of Madison's joint ventures and related parties.
Mr. Celnik began his accounting career at Ernst & Young, LLP where he was primarily responsible for tax structures for multi-state
companies, dealing with state and local taxes and audits for Sarbanes – Oxley compliance. From there he went to Home Décor Products,
where he acted as the internal auditor in preparation for a possible IPO.
Mr. Celnik received his Bachelor's Degree from the Rabbinical College of Long Island and his MBA in Accounting & Finance from Rutgers University.

Michael L. Donini, Esq.
Senior Commercial Counsel
Michael Donini is Senior Commercial Counsel for Madison Title Agency, LLC. In this role, he clears complex title matters,
oversees underwriting activities and renders title opinions. Before joining Madison, Mr. Donini was Vice President, Special Projects,
for New Jersey Title Insurance Company, where he was involved in underwriting, risk assessment and the development of strategic alliances
with various area mortgage lenders. Prior to his association with New Jersey Title Insurance, Mr. Donini had a private law practice that
focused on residential and commercial real estate transactions, land use and business law.
Mr. Donini received his Bachelor's degree from Villanova University and his Juris Doctor from the Oklahoma City University School
of Law. Mr. Donini is a member of the New Jersey Bar and a licensed New Jersey title insurance producer. Mr. Donini is also an Adjunct
Professor in the business studies department of Ocean County College and has served as a guest lecturer for Lorman and ICLE educational programs.

Deborah P. Everett, Esq.
Chief Title Officer, Texas Operations
Ms. Everett is Chief Title Officer, Texas Operations for Madison's Texas office. In that capacity, she handles all
compliance and regulatory matters for Madison and manages the day-to-day title operation—hiring & training staff, supervising
the process from initial orders through post closing, overseeing underwriting operations and all other office management functions.
Prior to joining Madison, Ms. Everett served as Senior Vice President and Counsel for Fidelity National Agency Solutions in Texas, a
division of the Fidelity National Title Group. She also has experience in managing title operations for a Texas title agency and served
as Vice President and Counsel for a regional bank. Prior to entering the title industry, Ms. Everett was engaged in a private law practice
that focused on real estate and probate matters. She is member of the State Bar of Texas.
Ms. Everett received her her Bachelor's degree from Southern Methodist
University and her Juris Doctor from St. Mary's University School of Law.

Terence Guerriere, Esq.
Director of NY Operations, MCRES
Mr. Guerriere, Director of our recently expanded New York operations, has displayed the
practical leadership that marks a successful career. An experienced real estate attorney and
title company executive, Mr. Guerriere joined Madison after serving as Chief Operating Officer
of Liberty Title Agency where he was responsible for the operations of three related New York
title agencies. Preceding his years at Liberty, he worked as Vice President for United General
Title Insurance Company and was responsible for the company's relationships with their agents
throughout New York State. Prior to his time with United General, he served as President of J.P.
Morgan Title Agency and Business Executive for the JPMorgan Chase's Title Insurance Group.
Mr. Guerriere has worked in the business of real estate law and title insurance for over 20 years.
In addition to the aforementioned experience, Mr. Guerriere gained his expertise as an attorney in
private practice with McCarthy Fingar, LLP, Co-founder and General Counsel of Electronic Land Services.
Inc. and Managing Counsel for the National/Commercial Office of Old Republic National Title Insurance
Company.
Mr. Guerriere is a graduate of Williams College and earned his Juris Doctor from St. John's University
School of Law. Prior to his real estate law career, Mr. Guerriere clerked for the Surrogate Court Judge
of Nassau County, New York. His previous career as a private school educator and administrator afforded
Mr. Guerriere the skills to be an effective lecturer, having spoken on the topics of legal ethics and
title insurance law. Active in his community, he has served on the White Plains Planning and Zoning Boards
including serving as Chairman and currently is President of the Gedney Association, a local service organization.
Mr. Guerriere was a co-founder of the Archbishop Stepinac High School Foundation and continues to serve on
its board. In addition to his New York law license, Mr. Guerriere is a licensed Title Insurance Producer in
New Jersey.

James H. Lee, Esq.
Senior New York Counsel & Manager of Proactive Department
James Lee is Senior New York Counsel & Manager of the Proactive Department for Madison Title Agency, LLC. As part of
his daily responsibilities, he clears complex commercial title issues, oversees underwriting activities and manages large, high-profile commercial transactions in New York.
Mr. Lee was formerly with LandAmerica Financial Group, Inc., where he was a claims attorney, specializing in complex title claims
and related legal work. Mr. Lee began his legal career at Wingate & Cullen in Melville, New York, where he performed extensive legal
research, assisted in litigation, drafted legal documents and represented lenders in commercial and residential real estate closings.
Admitted to the Bar in both New York and New Jersey, Mr. Lee is a graduate of the Rutgers School of Law at Newark and of Baruch College.
Mr. Lee is also licensed as a title producer in the state of New Jersey.

Lee David Medinets, Esq.
General Counsel for Madison Title Agency, LLC and its affiliates & Senior Counsel for Madison Exchange, LLC
Mr. Medinets is General Counsel for Madison Title Agency, LLC (and all its affiliates) and Senior Counsel for Madison Exchange, LLC
where he is responsible for all legal matters related to §1031 exchange transactions. In his work for Madison Title Agency, Mr. Medinets
manages a wide range of legal matters including:
- Corporate law
- Contracts
- Leasing issues
- Litigation
- Insurance
Before joining Madison, Mr. Medinets was in private practice for more than 20 years. His practice focused on real estate,
small businesses, municipal land use and §1031 exchanges. Mr. Medinets holds a Bachelor's degree from the University of
Virginia and a Juris Doctor from the Santa Clara University. He is a member of the New York Bar and New Jersey Bar and an
inactive member of the California Bar.
A noted lecturer and author on the subject of §1031 exchanges, Mr. Medinets is also a Certified Exchange Specialist and
active member of several Federation of Exchange Accommodators (FEA) committees, including the CES Council and Tax Advisory Board.
As a long-time resident of Lakewood, NJ, Mr. Medinets has served the community in numerous capacities including:
- Mediator for the Ocean County Family Court's Early Settlement Program
- Member of the Lakewood Township Master Plan Committee
- Member of the Lakewood Township Planning Board
- Legal advisor to tenants and landlords through the Lakewood Tenants' Organization's tenant counseling program

Elliot Schon, Esq.
New York Counsel
Mr. Schon is Counsel for Madison Title Agency's New York department. In this capacity he manages both commercial and
residential transactions. He is responsible for clearing complex title matters, overseeing underwriting activities and rendering
title opinions.
Before joining Madison, Mr. Schon served as the Director of Research for Business Licenses, LLC, a company that specializes in
identifying and explaining the licensing requirements on the federal, state, county and local levels for virtually any type of business.
Mr. Schon earned his Masters in Talmudic Law from the BMG Rabbinical College and his Juris Doctor from Pace University. He is admitted to the
Bar in both New Jersey and New York.

Samuel M. Shiel, Esq.
Director of National Title Services & Senior Underwriting Counsel
Samuel M. Shiel, Esq. is Director of National Title Services and Senior Underwriting Counsel – Vice President
for Madison Title Agency, LLC. In this position since 2005, Mr. Shiel oversees complex, large multi-state
transactions and manages national underwriting operations. Before joining Madison, Mr. Shiel was Vice President
and Counsel for Stewart Title Guaranty Co.'s National Title Service department for the NY region. While serving
in this capacity, he was appointed one of Stewart Title's Senior Underwriting Counsel with nationwide underwriting
authority. Previously, Mr. Shiel served as Assistant Vice President and National Commercial Counsel of Chicago Title
Insurance Co. in New York City for over eight years.
Originally from Canada, Mr. Shiel holds a Bachelor's degree from the University of Manitoba and a Juris Doctor
degree from the University of North Dakota School of Law. A noted speaker and writer on title insurance topics,
Mr. Shiel was a Panelist at the ALTA Annual Convention in 1998 focusing on "Current Practices in dealing with
Title Insurance Requirements of Lenders." His article "Why the NY Style Closing is Going Out of Fashion" was
published in 2002 in the New York Real Estate Journal.

Danielle Sprouls, Esq.
Executive Vice President, MCRES
Danielle Sprouls, Esq., Executive Vice President of Madison Commercial Real Estate Services (MCRES),
specializes in the structuring and coordination of multi-site commercial real estate transactions involving
the financing, title insurance and closing of retail, office, industrial and mixed use projects nationally.
Over the course of her distinguished career, Ms. Sprouls has closed over $15 Billion of commercial real estate
transactions nationally. She has been involved in some of the most prominent real estate deals in New York,
most notably, the Chrysler Building, Stuyvesant Town, the Bloomberg Tower, the Met Life building, Rockefeller
Center and the New York Times Building.
Prior to joining MCRES, Ms. Sprouls was Senior Executive Vice President at Liberty Title Agency and
Vice President and Counsel at Chicago Title in New York. Ms. Sprouls earned her Bachelor's Degree from
Seton Hall University and also holds a Juris Doctorate from Seton Hall Law School. She interned for the
Honorable Judge James Petrella, Appellate Division, in Hackensack, NJ.
Ms. Sprouls is actively involved in a number of professional organizations. She serves on the executive
board of the New York District Council of Urban Land Institute (ULI), is a member of ULI's Commercial Retail
and Development Council (Silver flight), the Brooklyn Philharmonic Real Estate Council, WX, the Real Estate
Board of New York (REBNY) and the International Council of Shopping Centers (ICSC.), She also serves in the
ULI Young Leaders Mentor/Protégé Group.

Bruce Stern, Esq.
Vice President, Business Development
Bruce Stern is Vice President of Business Development for Madison Title Agency, LLC. As such, he is responsible for negotiating and
managing new business initiatives. He has an integral role in the company's growing presence in the title industry as well as Madison's
expansion into other aspects of the real estate market. A former Congressional staffer, Mr. Stern served as General Counsel for a large
private college and spent years in private practice as a real estate attorney before joining Madison.
Mr. Stern holds a Bachelor's degree from Swarthmore College and a Juris Doctor degree from the University of Washington School of Law.

Ronald S. Sternberg, Esq.
Vice President, Strategic Alliances
Mr. Sternberg is Vice President of Strategic Alliances for Madison Title Agency, LLC and its affiliates. His chief responsibilities
are to find joint venture partners, close joint venture agreements with new partners and manage operations, compliance and marketing for
our joint venture operations.
Before joining Madison, Mr. Sternberg owned and operated Summit Closing Services, a company that arranged joint ventures and conducted
real estate settlement services. Prior to that, Mr. Sternberg was a real estate attorney in his own law practice for ten years.
Mr. Sternberg was originally a tax attorney as well as a financial planner, tax shelter syndicator and real
estate developer.
Mr. Sternberg received his Bachelor's degree from SUNY at Stony Brook, his Juris Doctor from SUNY at Buffalo, and LL.M in Taxation
from New York University.

Louis H. Weinberg, Esq.
Vice President and Counsel, MCRES
Louis H. Weinberg, Esq. is Vice President and Counsel for Madison Commercial Real Estate Services LLC,
working out of their New York City office. His focus is in the title insurance industry, where he has more
than 25 years of experience. He specializes in high end residential and commercial real estate transactions
in the New York metro area. Prior to joining Madison, Mr. Weinberg spent five plus years as Senior Vice
President and Counsel for Liberty Title Agency LLC where he was responsible for business development and
servicing existing clientele. Prior to that, Mr. Weinberg spent more than 18 years as Legal Counsel for
North Shore Abstract, Ltd in Great Neck, NY.
Mr. Weinberg earned his Bachelors degree from the University of Florida in 1981 and holds a Juris Doctor
as a member of Brooklyn Law School's Class of 1985. He is a member of the NY State Bar Association.
Additionally, Mr. Weinberg is actively involved in a number of charitable and not-for-profit organizations.
He currently serves as President of the Foundation for Supporters of the Disabled (FSD), a foundation that provides
grants to community based organizations serving people with developmental disabilities. Mr. Weinberg is also Vice
Chairman of the Board of Directors of PSCH (Promoting Specialized Care and Health), a large not-for-profit agency
that operates residential, habilitative and job training programs for more than 3000 mentally ill and developmentally
disabled individuals. Most recently, Mr. Weinberg was selected as an "Industry Leader" in 2010 by Real Estate Weekly,
a publication serving the real estate industry.
